Legal Notice

These Terms of Use govern the authorized use of all Magius digital media, intellectual property, brand assets, and technical documentation. By accessing or using any Magius digital properties, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing and using the Magius Media Documentation & Technical Resource Center (the "Portal"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree to these terms, you must discontinue use of the Portal immediately. Magius Media reserves the right to modify these terms at any time. Continued use of the Portal following any modifications constitutes your acceptance of the updated terms.

2. Intellectual Property Rights

All content, materials, and intellectual property contained within the Magius Media Documentation Portal, including but not limited to logos, brand assets, color palettes, typography specifications, technical documentation, and all associated materials, are the exclusive property of Magius Media or its licensors. These materials are protected by international copyright, trademark, and intellectual property laws. You acknowledge that all intellectual property rights in the Portal and its content are retained by Magius Media.

The Magius brand, including all logos, trademarks, and brand identifiers, are registered intellectual property of Magius Media. Unauthorized use, reproduction, or distribution of these materials is strictly prohibited and may result in legal action.

3. Authorized Use of Digital Media

Magius Media grants you a limited, non-exclusive, non-transferable license to use the digital media and assets available through the Portal solely for authorized purposes as specified in the Branding Assets section. This license is subject to the following conditions:

  • You may use the digital media only in accordance with the approved use cases specified in the Branding Assets documentation
  • You may not modify, alter, distort, or create derivative works based on the digital media without explicit written authorization from Magius Media
  • You may not use the digital media in any manner that misrepresents or disparages Magius Media or its services
  • You may not combine the Magius brand assets with competing or conflicting brand marks without authorization
  • You must maintain the integrity and quality of all brand assets in accordance with specified guidelines
  • You may not use the digital media for any unlawful or prohibited purposes

Any use of digital media outside the scope of this limited license is strictly prohibited and constitutes unauthorized use of intellectual property.

4. Technical Documentation Licensing

The technical specifications, infrastructure documentation, API documentation, and all related technical materials contained within the Portal are provided for informational and reference purposes. These materials may be used by authorized partners and stakeholders for the purpose of understanding, implementing, and maintaining compatibility with Magius infrastructure and services.

You may not reproduce, distribute, or publicly disclose technical documentation without explicit written authorization from Magius Media. Technical documentation is provided on a confidential basis and is intended for authorized use only. Unauthorized disclosure of technical specifications may constitute a breach of this agreement and may result in legal action.

5. Restrictions on Use

You agree that you will not, and will not permit others to:

  • Reproduce, duplicate, copy, or otherwise replicate any content from the Portal without authorization
  • Modify, alter, translate, or create derivative works based on Portal content
  • Distribute, transmit, or publicly display Portal content without authorization
  • Use Portal content for commercial purposes without explicit written permission
  • Attempt to reverse-engineer, decompile, or disassemble any technical materials
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use the Portal or its content for any unlawful, deceptive, or fraudulent purposes
  • Create unauthorized clones, replicas, or counterfeit implementations of Magius digital properties
  • Engage in domain spoofing, phishing, or other deceptive practices
  • Attempt to gain unauthorized access to Portal systems or infrastructure

6. Brand Asset Usage Guidelines

All brand assets provided through the Portal must be used in strict accordance with the Brand Asset Usage Guidelines specified in the Branding Assets section. Failure to comply with these guidelines may result in termination of your license and legal action.

Specifically, you agree to:

  • Use only approved logo variations as specified in the guidelines
  • Maintain the integrity and proportions of all brand assets
  • Use only approved color palettes and specifications
  • Follow typography guidelines for all brand communications
  • Limit use to approved use cases only
  • Refrain from modifying or altering brand assets in any way
  • Maintain professional quality and presentation standards

Unauthorized modifications or misuse of brand assets will result in immediate termination of your license and may subject you to legal action for intellectual property infringement.

7. Confidentiality

The technical documentation, infrastructure specifications, and other confidential materials provided through the Portal are confidential and proprietary information of Magius Media. You agree to maintain the confidentiality of these materials and to not disclose them to any third party without explicit written authorization from Magius Media.

You acknowledge that disclosure of confidential technical information may cause irreparable harm to Magius Media and that monetary damages may be an insufficient remedy. Accordingly, Magius Media shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.

8. Data Protection & Privacy

Your use of the Portal may involve the collection and processing of personal data. Magius Media is committed to protecting your privacy in accordance with applicable data protection regulations, including GDPR, CCPA, and other relevant laws. For detailed information about how your data is collected, processed, and protected, please refer to our Privacy Policy.

By using the Portal, you consent to the collection and processing of your personal data as described in our Privacy Policy. You have the right to access, correct, or delete your personal data in accordance with applicable law. To exercise these rights, please contact compliance@magius-support.online.

9. Disclaimer of Warranties

The Portal and all content, materials, and services provided through the Portal are provided on an "as-is" and "as-available" basis. Magius Media makes no representations or warranties of any kind, express or implied, regarding the Portal or its content, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Magius Media does not warrant that the Portal will be uninterrupted, error-free, or free from viruses or other harmful components. Magius Media does not warrant the accuracy, completeness, or reliability of any information provided through the Portal.

Your use of the Portal is at your sole risk. Magius Media shall not be liable for any damages arising from your use of or inability to use the Portal or its content.

10. Limitation of Liability

In no event shall Magius Media be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Portal, including but not limited to loss of profits, loss of data, loss of business opportunity, or other intangible losses, even if Magius Media has been advised of the possibility of such damages.

In no event shall Magius Media's total liability to you exceed the amount you have paid to Magius Media, if any, in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Magius Media and its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Portal, your violation of these Terms of Use, or your infringement of any intellectual property rights or other rights of any third party.

12. Termination

Magius Media reserves the right to terminate your access to the Portal at any time, for any reason, with or without notice. Upon termination, all rights granted to you under these Terms of Use shall immediately cease, and you must discontinue all use of the Portal and its content.

Sections regarding intellectual property rights, confidentiality, limitation of liability, and indemnification shall survive any termination of these Terms of Use.

13. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the jurisdiction in which Magius Media is incorporated, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for resolution of any disputes arising from these Terms of Use or your use of the Portal.

14. Entire Agreement

These Terms of Use, together with any other agreements or policies referenced herein, constitute the entire agreement between you and Magius Media regarding your use of the Portal and supersede all prior negotiations, representations, and agreements, whether written or oral.

15. Severability

If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed. The remaining provisions shall continue in full force and effect.
